PAYMENT OPTIONS: 

Payment for services rendered are due upon receipt of invoice.  We accept check, electronic payment via ACH, and Credit Cards.  For details on electronic payments, please contact us with the method you wish to use.  Please be aware that in accordance with State of North Carolina General Statute 147- 86.23, all delinquent accounts will be assessed a one-time 1% late-payment penalty charge on invoices paid beyond the 15-day grace period.  

Client is responsible for paying the fees outlined in the service order or related purchase order. These fees do not include any applicable duties, tariffs, or taxes. Any taxes resulting from this Agreement, except those on UC Blueprint's net income, are the responsibility of the Client. UC Blueprint will pay any taxes remitted to it by the Client to the relevant taxing authority on time. The Parties will work together to help each party accurately calculate and reduce its tax liability to the extent legally permissible. All payments made under this Agreement must be made without set-off, counterclaim, deduction, or withholding. 

CONVENIENCE FEE NOTICE: 

If you elect to pay via credit card, your final invoice will include a convenience fee of 3%. This fee is added to the total charge for the services provided and the final invoice amount.  

WARRANTY: 

UC Blueprint guarantees that the Service(s) will be carried out with reasonable skill and care. Additionally, each party guarantees that the service agreements will not significantly violate any term or condition of any agreement the party has with a third party, and that the officer(s) signing the agreement have the authority to bind the party to the terms and conditions outlined herein. UC Blueprint will redo any work that is not in substantial compliance with this warranty if it is brought to its attention within thirty (30) days of the work being performed. These are the only warranties regarding the services, any deliverables or materials, or the agreement and, to the extent allowed by law, are expressly made in place of all other warranties, conditions, terms, representations, and/or undertakings, whether express or implied, statutory or otherwise, including (but not limited to) warranties of condition, performance, fitness for a particular purpose, satisfactory quality, informational content, systems integration, non-infringement, or otherwise. 

RELATIONSHIP AND NON-SOLICITATION

The parties acknowledge and agree that they are independent contractors and neither party has the authority to bind or commit the other. The agreement does not create a joint venture, partnership, fiduciary or agency relationship between the parties for any purpose. During the service(s) and for a period of twelve (12) months after its conclusion, neither party shall directly or indirectly solicit, offer work to, employ, or contract with any Personnel of the other party with whom they have come into direct contact in the course of the service(s), unless such Personnel independently respond to indirect solicitations. For purposes of these General Terms, "Personnel" means any individual or company that a party employs or has employed as a partner, employee, or independent contractor. Furthermore, an "affiliate" of a party refers to any entity that, directly or indirectly, through one or more intermediaries, is controlled by or under common control of that party, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of the party, whether through share ownership, holding of voting power, contract or otherwise. 

UC Blueprint, LLC is an independent service provider.
